The Clearinghouse is a web based Venue where holders of exempt private equity interests (Corporate LTD. Partnership, etc.) can post their equities for direct sale to the investing public. These interests should not be registered with the securities and exchange commission and only the owner of the interest is eligible to post it for sale.
The purpose of the Private Equity Clearinghouse is to provide liquidity through direct investment to a heretofore illiquid market. All investors registered with the clearinghouse have represented to us that they are “sophisticated investors” in order to gain access to the site. Also, private companies are invited to use this venue to attract investors by offering exempt equity to qualified investors.
We will assist both buyers and sellers of Private Equities in the transfer and verification of all information necessary to complete their particular transaction.
The seller is responsible for 3% of the transaction and the buyer is responsible for 3% of the first million of the purchase price and one percent (1%) of the balance of the purchase price. This transaction fee is only payable in the event of a successful transaction.
